The Hard Thing About Hard Things, by Ben Horowitz, is the best business book I’ve ever read. Or at least the best book on management and leadership that I’ve ever read.  Period.
It’s certainly the best CEO book on the market. It’s about 1000 times better than my book although my book is intended to be different in several ways. I suppose they’re complementary, but if you only had time left on this planet for one book, read Ben’s first.
I’m not even going to get into specifics on it, other than that Ben does a great job of telling the LoudCloud/Opsware story in a way that shows the grit, psychology, and pain of being an entrepreneur in a way that, for me, has previously only existed in my head.
Just go buy and read the book.

This past week, we had what has become an annual tradition for us – a two-day Board meeting that’s Board and senior management (usually offsite, not this year to keep costs down) and geared to recapping the prior year and planning out 2009 together. Since we are now two companies, we did two of them back-to-back, one for Authentic Response and the other for Return Path.
It’s a little exhausting to do these meetings, and it’s exhausting to attend them, but they’re well worth it. The intensity of the sessions, discussion, and even social time in between meetings is great for everyone to get on the same page and remember what’s working, what’s not, and what the world around us looks like as we dive off the high dive for another year.
The most exhausting part is probably the preparation for the meetings. We probably send out over 400 pages of material in advance – binders, tabs, the works. It’s the only eco-unfriendly Board packet of the year. It feels like the old days in management consulting. It takes days of intense preparation — meetings, spreadsheets, powerpoints, occasionally even some soul searching — to get the books right. And then, once those are out (the week before the meeting), we spend almost as much time getting the presentations down for the actual meeting, since presenting 400 pages of material that people have already read is completely useless.
By the end of the meetings, we’re in good shape for the next year. But before the meetings have even started, we’ve gotten a huge percentage of the benefit out of the process. Pulling materials together is one thing, but figuring out how to craft the overall story (then each piece of it in 10-15 minutes or less) for a semi-external audience is something entirely different. That’s where the rubber meets the road and where good executives are able to step back; remember what the core drivers and critical success factors are; separate the laundry list of tactics from the kernel that includes strategy, development of competitive advantage, and value creation; and then articulate it quickly, crisply, and convincingly.Â
I’m incredibly proud of how both management teams drove the process this year – and I’m charged up for a great 2009 (economy be damned!).

I’ve seen and heard a lot of these. But perhaps it’s fitting that on Independence Day, I realized that this gem of a quote, not specifically about entrepreneurs or CEOs but very applicable to them, comes from President Theodore Roosevelt in his “Citizenship in a Republic” speech at the Sorbonne in Paris, April 23, 1910:
It is not the critic who counts: not the man who points out how the strong man stumbles or where the doer of deeds could have done better. The credit belongs to the man who is actually in the arena, whose face is marred by dust and sweat and blood, who strives valiantly, who errs and comes up short again and again, because there is no effort without error or shortcoming, but who knows the great enthusiasms, the great devotions, who spends himself for a worthy cause; who, at the best, knows, in the end, the triumph of high achievement, and who, at the worst, if he fails, at least he fails while daring greatly, so that his place shall never be with those cold and timid souls who knew neither victory nor defeat.
Amen, Brother Teddy. This quote is so good that it appears twice independently (once from me, once in a contributor’s sidebar) in my almost-ready-to-pre-order book, Startup CEO. In fact, let me quietly take this opportunity to start a bit of a hashtag movement around the topic at #startupceo. More to come on this next week!

Selecting Your Investors
Fred Wilson has been a venture investor and director in Return Path since 2000, first with Flatiron Partners and then with Union Square Ventures. We’ve been through a lot of wars together. In a couple of weeks, he and I are team-teaching a class in Entrepreneurship at Princeton, and the professor gave us the assignment of writing two pairs of blog posts to tee up discussion with the class. This is the first one…and Fred’s post on the other side of the topic is here. Next week, we’ll address the topic of building a successful CEO-VC partnership once it’s established.
If you’re fortunate enough to have built a really strong early stage company, you will find yourself in the position of being able to pick from a number of potential venture investors. The better your business and the more exciting the space you’re trying to tackle…the more investors you’ll find circling around you. Here are a few tips for ending up with the best long-term partner as an investor.
- Look for VC portfolios that have a lot of “like” companies (B2B, B2C, media, tech, etc.). One of the strongest points of value that venture investors bring to the table is pattern matching, and you can maximize that by making sure the investor you end up with has seen a multitude of companies like yours
- Check references carefully. Don’t be shy – prospective VCs are checking up on you, and you have every right to do the same with them.  When Fred first invested in Return Path, he gave me a list of every CEO he had ever worked with and said “Call anyone you want on the list. Some of these guys I worked well with, a couple I fired.  But they’ll all tell you what I’m like to work with.” First prize is the VC who volunteers this information. Second prize is the VC who gives it to you when you ask. A distant third price is the VC who gives you two names and ask for time to prep them ahead of time
- Focus on the person first, the firm second. Having a good venture firm is important. But at the end of the day, you’re dealing with a person first and foremost. That’s who will be on your board giving you advice and measuring your performance. Better to have an A person at a B firm than a B person at an A firm (of course, even better to have an A person at an A firm). This means two things – selecting a great person to be on your Board, and also making sure you end up with a person who has enough juice within his or her firm to get things done on your behalf with the partnership
- Always have a BATNA (Best Alternative to a Negotiated Agreement – a fancy way of saying Plan B).  This is probably the most important piece of advice I can offer.  And this is true of any negotiation, not just a term sheet.  It’s often said that good choices come from good options. Sometimes, you have to walk away from a deal where you’ve invested a lot of time, energy, and emotion.  But as an entrepreneur, you can mitigate the number of times you have to walk away by developing good alternative options to a particular deal. That way, if one option doesn’t pan out as you’d hoped, another very good option is waiting in the wings. If you negotiate with two or three VCs, you’ll have a great backstop and won’t let the emotional investment in the deal get the best of you.  Yes, you will spend twice to three times the amount of time on the process, but it’s well worth it
- Don’t be swayed by promises of help. I’ve heard VCs say it all. They’ll help you fill out your management team. They’ll get you customers. They’ll help with your back office. They’re loaded up with value-add. If venture investor has staffed his or her firm with support personnel who are available free of charge to portfolio companies (this does happen once in a while), then assume your VC will be as helpful as possible, but no more or less helpful than another investor
- Handle the negotiation yourself, in person as much as possible. The best way to get to know someone’s character is to negotiate a deal with him. This gives you lots of opportunities to look for reasonableness, and to see if he or she is able to focus on the big picture. The biggest warning sign to look for is someone who says things like “you have to agree on this term, because this is how we always do deals.” By the way, how you handle yourself in this negotiation is equally important. The financing is the line of demarcation between you and the VC courting each other, and the VC joining your board and effectively becoming your boss
- “Pay up” for quality and for a clean security. There is a world of difference between good VCs and bad VCs (both the individual partners and the firms) that will ultimately have a lot to do with how successful your company can become.  The quality of your VC isn’t more important than the quality of your product or your team, but it’s right up there.  But – and this is an important but – you should expect to “pay” for quality in the form of slightly weaker terms (whether valuation or type of security).  Similarly, I’d always sacrifice valuation for a clean security.  Everyone always thinks that price/valuation is the most important thing to maximize in a deal. However, the structure of the security can be much more important in the long run.  Whether the VCs buy 33 percent of your company or 30 percent of your company is much less important than having a capital structure that’s easy for an outsider to understand and want to join
As with all things, there are probably another dozen items that could be added to this list, but it’s a good starting point. However, your more important role as CEO is to put your company in a position where you can select from a number of high quality investors, so start there!

My friend James is the GM of the Pret a Manger (a chain of about 250 “everyday luxury” quick service restaurants in the UK and US) at 36th and 5th in Manhattan. James recently won the President’s Award at Pret for doing an outstanding job opening up a new restaurant. As part of my ongoing effort to learn and grow as a manager, I thought it would be interesting to spend a day shadowing James and seeing what his operation and management style looked like for a team of two dozen colleagues in a completely different environment than Return Path. That day was today. I’ll try to write up the day as combination of observations and learnings applied to our business. This will be a much longer post than usual. The title of this post is not a typo – James is “ready to manage.”
1. Team meeting. The day started at 6:45 a.m. pre-opening with a “team brief” meeting. The meeting only included half a dozen colleagues who were on hand for the opening, it was a mix of fun and serious, and it ended with three succinct points to remember for the day. I haven’t done a daily huddle with my team in years, but we do daily stand-ups all across the company in different teams. The interesting learning, though, is that James leaves the meeting and writes the three points on a whiteboard downstairs near the staff room. All staff members who come in after the meeting are expected to read the board and internalize the three points (even though they missed the meeting) and are quizzed on them spontaneously during the day. Key learning: missing a meeting doesn’t have to mean missing the content of the meeting.
2. Individual 1:1 meeting. I saw one of these, and it was a mix of a performance review and a development planning session. It was a little more one-way in communication than ours are, but it did end up having a bunch of back-and-forth. James’s approach to management is a lot of informal feedback “in the moment,” so this formal check-in contained no surprises for the employee. The environment was a little challenging for the meeting, since it was in the restaurant (there’s no closed office, and all meetings are done on-site). The centerpiece of the meeting was a “Start-Stop-Continue” form. Key learning: Start-Stop-Continue is a good succinct check-in format.
3. Importance of values. There were two forms of this that I saw today. One was a list of 13 key behaviors with an explanation next to each of specific good and bad examples of the behavior. The behaviors were very clear and were “escalating,” meaning Team Members were expected to practice the first 5-6 of them, Team Leads the first 7-8, Managers the first 10, Head Office staff the first 12, Executives all 13 (roughly). The second was this “Pret Recipe,” as posted on the public message board (see picture below). Note – just like our values at Return Path, it all starts with the employee. One interesting nugget I got from speaking to a relatively new employee who had just joined at the entry level after being recruited from a prominent fast food chain where he had been a store general manager was “Pret really believes this stuff — no lip service.”
I saw the values in action in two different ways. The first was on the message board, where each element of the Pret Recipe was broken out with a list of supporting documents below it, per the below photo. Very visual, very clear.
The second was that in James’s team meeting and in his 1:1 meeting, he consistently referenced the behaviors. Key learning: having values is great, making them come to life and be relevant for a team day-in, day-out is a lot harder but quite powerful when you get it right.
4. Managing by checklist. I wrote about this topic a while ago here, but there is nothing like food service retail to demand this kind of attention to detail. Wow. They have checklists and standards for everything. Adherence to standards is what keeps the place humming. Key learning: it feels like we have ~1% of the documentation of job processes that Pret does, and I’m thinking that as we get bigger and have people in more and more locations doing the same job, a little more documentation is probably in order to ensure consistency of delivery.
5. Extreme team-based and individual incentive compensation. Team members start at $9/hour (22% above minimum wage that most competitors offer). However, any week in which any individual store passes a Mystery Shopper test, the entire staff receives an incremental $2/hour for the whole week. Any particular employee who is called out for outstanding service during a Mystery Shop receives a $100 bonus, or a $200 bonus if the store also passes the test. The way the math works out, an entry level employee who gets the maximum bonus earns a 100% bonus for that week. But the extra $2/hour per team member for a week seemed to be a powerful incentive across the board. Key learning: team-based incentive comp is something we use here for executives, but maybe it’s worth considering for other teams as well.
6. Integrated systems. Pret has basically one single software system that runs the whole business from inventory to labor scheduling to finances. All data flows through it directly from point of sale or via manager single-entry. All reports are available on demand. The system is pretty slick. There doesn’t seem to be much use of side systems and side spreadsheets, though I’m sure there are some. Key learning: there’s a lot to be said for having a little more information standardized across the business, though the flip side is that this system is a single point of failure and also much less flexible than what we have.
7. Think time. I’ve written a little about working “on the business, not in the business,” or what I call OTB time, once before, and I have another post queued up for later this summer about the same. Brad Feld also very kindly wrote about it in reference to Return Path last week. Working in retail means that time to work on IMPORTANT BUT NOT URGENT issues is extremely hard to come by and fragmented. I suspect that it comes more at the end of the day for James, and it probably comes a lot more when he doesn’t have someone like me observing him and asking him questions. But his “office” (below), exposed to the loud music and sounds and smells of the kitchen, certainly doesn’t lend itself to think time! Key learning: of course customers come first, but boy is it critical to make space to work OTB, not just ITB. Oh, and James needs a new chair that’s more ergonomically compatible with his high countertop desk.
Years ago, I spent a few weekends working in my cousin Michael’s wine store in Hudson, NY, and I wrote up the experience in two different posts on this blog, the first one about the similarities between running a 2-person company and a 200-person company, and the second one about how in a small business, you have to wear one of every kind of hat there is. My conclusion then was that there are more similarities than differences when it comes to running businesses of different types. My conclusion from today is exactly the same, though the focus on management made for a very different experience.
Thanks to James, Gustavo, Orlanda, Shawona, and the rest of the team at the 36th & 5th Pret for putting up with the distraction of me for the bulk of the day today — I learned a lot (and particularly enjoyed the NYC Meatball Hot Wrap) and now have to figure out how to return the favor to you!

Let me be clear up front: I do not think of my colleagues at Return Path as children, and I do not think of Casey, Wilson, and Elyse as employees. That said, after a couple weeks of good quality family time in January, I was struck by the realization that being a CEO for a long time before having kids has made me a better parent…and I think being a new parent the last three years has made me a better CEO.
Here's why. The two roles have a heavy overlap in required core interpersonal competencies. And doing both of them well means you're practicing those competencies twice as many hours in a week than just doing one – and in different settings. It's like cross training. In no order, the cross-over competencies I can think of are…
Decisiveness. Be wishy washy at work, and the team can get stuck in a holding pattern. Be wishy washy with kids, they run their agenda, not yours.
Listening. As my friend Anita says, you have two ears and one mouth for a reason. Listening to your team at work, and also listening for what's not being said, is the best way to understand what's going on in your organization. Kids need to be heard as well. The best way to teach good verbal communication skills is to ask questions and then listen actively and attentively to the responses.
Focus. Basically, no one benefits from multitasking, even if it feels like a more efficient way of working. Anyone you're spending time with, whether professionally or at home, deserves your full attention. The reality is that the human brain is full of entropy anyway, so even a focused conversation, meeting, or play time, is somehow compromised. Actually doing other activities at the same time destroys the human connection.
Patience. For the most part, steering people to draw their own conclusions about things at work is key. Even if it takes longer than just telling them what to do, it produces better results. With kids, patience takes on a whole new meaning, but giving them space to work through issues and scenarios on their own, while hard, clearly fosters independence.
Alignment. If you and your senior staff disagree about something, cross-communication confuses the team. If you and your spouse aren't on the same page about something, watch those kids play the two of you off each other. A united front at the top is key!
I'm sure there are others…but these are the main things that jump to mind. And of course one can be great in one area without being in the other area at all, or without being great in it. Are you a parent and a business leader? What do you think?

Brad has a good post up about what he calls “closed sessions” in Board meetings — time at the end of the meeting reserved for a conversation with Board members ONLY, no other observers or non-Board management. While we differ in terminology, I agree completely with the sentiment and with his logic.
We call the part of the meeting that Brad describes the Executive Session. We’ve always done them. And the Board and I find it incredibly useful, and a good practice, even if there are no contentious or puzzling issues during a meeting. Not that our Board holds back much, but the Executive Session is a good time for us to connect 100% freely about management issues as well as elements of business strategy and performance that might be better hashed out without others present.
We also have an additional part of the meeting at the very end which we call the Closed Session. This part of the meeting has NO MANAGEMENT in it, even me, although I’m Chairman of the Board. This time allows the other directors an even greater degree of freedom to discuss the business or my performance without worrying about saying something in front of me — and without hearing my opinion.
Both sessions are incredibly valuable parts of high functioning Boards.

I’ve talked about Why I Love My Board a few times in the past. I was reminded at my quarterly Board meeting and dinner this week that it’s a great and unusually strong group, and we’re lucky to have them. Fred and Brad have both been prolific bloggers for years,and I know many of you follow their blogs closely. Think of that as getting a taste of the input and wisdom you’d get by having them on your Board.
In a very exciting development, one of my independent directors, Scott Weiss, has now started blogging on the Andreessen-Horowitz platform. Scott is probably our most outspoken and colorful director (and that’s saying something). Scott just joined Andreessen-Horowitz as a partner in their fund, so he now a VC, but his experience as an operator both at Hotmail in Internet 1.0 and then at Ironport have been incredibly valuable for me as an entrepreneur, and I expect most of his posts to focus on the entrepreneur’s perspective.
Two of Scott’s first three posts, Looking Bigger and Ridiculously Transparent, are perfect examples of the value I’ve gotten out of my six year relationship with Scott as a Board member. If you want a taste of what it would be like to have him in your corner…subscribe to his blog!

Ah Spring. Flowers bloom. Love is in the air.  And it’s time for the annual round of “email is dead” articles and blog posts. With apologies to Monty Python, and on the heels of last week’s fracas about social networking having more users than email, once again I say, email is Not Dead Yet!

Three articles of late are pretty interesting and point out that the trends in online channel usage are far murkier than meets the eye.

First, Sherry Chiger’s story in Direct that One in Five Merchants Shuns Marketing Email has a poor headline for an interesting, data-rich article. The article should be about how “Four in Five” adopt. The article has links to a bunch of interesting in-depth reports you can download, but some of the eye-catching stats include the fact that more B2C companies use email than their own web site for marketing (96% vs. 90%); that the #1 use of “if I had more money in my marketing budget, it would go to” is “creating more sophisticated email”; and that email is the “most valuable online strategy,” beating out SEO and materially ahead of Social Media, SEM, sending offline traffic online, affiliate, display, and abandoned shopping cart marketing.

 and Liana Evans’ article in ClickZ, Email Can Be Social Media’s Best Friend, both explain the interplay of email and social media nicely. You can’t, or at least shouldn’t, have one without the other. This matches our experience at Return Path, where a number of our largest clients are the biggest social networks. We always say that “social networking runs on email.” Look at your inbox sometime and see how many messages are from Facebook, LinkedIn, Twitter, etc., which prompt you to create page views for them, um, I mean, visit their sites.

And of course the recent Morgan Stanley data is somewhat problematic (chart published here among other places). First, I’m not sure where their base data came from, but I’ve never seen an estimate of worldwide email users that’s only 850MM. The Morgan Stanley report says there are 1.8B people online worldwide, and there are been stats consistently published over the years that between 80-95% of people online use email. This report from Radicati has the number of email users worldwide growing from 1.4B last year to 1.9B over the next few years. That sounds more like it. Â
There’s no question that people spend more time in social networks and will continue to. They’re more multi-faceted. But that “error” in reporting on number of email addresses pretty dramatically changes the two charts. Plus, don’t you have to have an email account to sign up for most social networks? And as my colleague Ezra Fischer noted, how the counting works in these two charts is important. For example, I have 2-3 email accounts, but I have 10-12 social network accounts. Am I counted once in each category, or 2-3 in the first and 10-12 in the second? Or worse, once in the first and 10-12 times in the second?

Anyway, every time I write one of these “in defense of email” posts, I get criticized for having too vested an interest in the subject matter to be objective. If that’s the case, so be it – but who else is going to highlight the positive counterpoints when the buzz is all pointed to the demise of email?
A Two Week Vacation is More Than Twice As Good As a One Week Vacation
I’ve said this for years, but as I sit on the train commuting into work after a week off relaxing with my family for my Dad’s 75th birthday (or as he prefers to call it, the 46th anniversary of his 29th birthday), I feel particularly inclined to write it up!
I love my job, so I almost never mind going to work. But I also love being on vacation and traveling with my family and try to do as much of it as I can. Years ago before we had kids and became tethered to school and sports schedules, we used to take at least one full two week vacation, completely unplugged, at least once a year. I miss that!
The problem with any vacation longer than a couple days off (which is NOT a vacation) is that it can take several days to unwind, decompress from work and the small stresses of every day life, and unplug, meaning not checking email, reading blogs or the newspaper every morning, and not fidgeting every time you’re more than 10 feet away from your smartphone. Then on the other end of the trip, trying to triage email the day before you go back to work and generally gearing up for reentry into the fast lane also consume a bunch of cycles — and for me, I’ve never been able to sleep well the night before the first day of anything, so it means starting back with diminished relaxation even before walking through the office door.
So all in, that means the true part of a week-long, meaning 9-day vacation (including two weekends), is about 4-5 days.
That’s not bad. But I think you have all that same overhead associated with a two week vacation as well…so a two week vacation of 16 days leaves you with 11-12 days. Mathematically, if not psychically, more than twice as good as the standard one-weeker.
I’m inclined to start doing that once a year again, schedules be damned!
As a side note, two things I also used to do on vacation, even a one-weeker, that I am regretting not doing this time are (a) actually turning my work email account off my phone and leaving it off until the Monday morning after vacation so there’s no cheating on a couple minutes of email here or there, and (b) making sure my schedule is almost completely open that first Monday back to catch up. Next time, those two features will return prominently…along with that full second week off.
Oh, and if anyone says a Startup CEO can’t take a long unplugged vacation…I call bullshit. You may not be able to do it any two weeks of the year with no notice, but plan ahead, leave things in good order, leave someone in charge (or don’t, but be deliberate about that), and let them know where to call you in case the building burns down. It will be fine when you get back, and healthy for tour team to have a break from you as well.
